Overview of the Hotel Operating Company

19.1 The Carlton Savannah Limited, the Hotel Operating Company, is a company duly incorporated under the Companies Act Chap. 81:01 of the Laws of the Republic of Trinidad & Tobago having its registered office at Eleven Albion Street · P.O. Box 478 · in the City of Port of Spain in the Island of Trinidad. The Hotel Operating Company holds one (1) redeemable Class A share in the Carlton Savannah Owners' Association Limited such that the rights to manage the assets of the Carlton Savannah Owners’ Association Limited are enjoyed exclusively by the Hotel Operating Company.


BOARD OF DIRECTORS
Director, Philip Hamel-Smith

19.2 Philip Hamel-Smith is the Managing Partner at M. Hamel-Smith & Co. He specializes in international business transactions and Investment Syndication Law. He has extensive experience in these areas and encourages companies to set up business operations locally by recommending the appropriate organizational structures to ensure their commercial viability.
19.3 Philip has extensive experience in the real estate sector, both as developer/owner of commercial and residential developments, as well as advisor and consultant to others.
19.4 Mr. Hamel-Smith is a former Government Senator and served as Vice President of the Senate over the period 1995-2000. In this capacity, he actively participated in drafting and amending legislation pertaining to Trinidad & Tobago, and served as a member of the Government’s Legislative Review Committee. He is the Author of: Financial Systems in Trinidad & Tobago (Euromoney Publications. 1991.) 19.5 Mr. Hamel-Smith is also a member of the American Bar Association, the International Bar Association and the Law Society (United Kingdom). He is currently a Director on several local Corporate Boards, and has served as a Director of Lex Mundi, the world’s leading Association of Independent Law Firms. He is also an External Examiner on Business Law for The University of the West Indies (Institute of Business).

Director, Operations, Robert MacLellan

19.6 Robert MacLellan has over thirty years experience in the hospitality industry during which he has taking leading roles in property management, property development, as well as operational management in the hotel and leisure industry.

19.7 In latter years, recognised as a Development expert in the Caribbean, Robert has been/is directly involved either as a partner or advisor in a marina and beach-club development in St Lucia, a marina village in Grenada, a 250 acre retirement community, residential health spa and golf course development in Barbados, a 300 room Hyatt and 150 room Rosewood resort project in Belize, four resort projects of varying scale and size in Tobago, a 120 room boutique resort in Trinidad, and eco-resort and spa in the Dominican Republic, and a 50 acre site in St Lucia for 2 hotels.

19.8 Robert has worked as a property consultant throughout the Caribbean and Europe and the US, notably for Eric Bernard Associates in Palm Beach Florida and Aspect Group in London. In his earlier career, as a Managing Director at Stanhope Properties he was responsible for the leisure and property management division, experience which he also applied to Road Chef Motorways PLC where he was the Managing Director.

19.9 Robert is a UK citizen, but is permanently resident in Trinidad & Tobago

Director, Arthur Lok Jack

19.10 Arthur Lok Jack is Chairman and CEO of Associated Brands Ltd, his own global food manufacturing business. He is also Chairman Guardian Holdings Ltd, a financial services, insurance and asset management company, Neal & Massey Holding Ltd., a multi-corporate business covering energy, cars, insurance, retail and other businesses, and Chairman of Caribbean Airlines.

19.11 As one of the Caribbean region's most dynamic and successful entrepreneurs, Arthur Lok Jack has grown his own business, Associated Brands Industries Limited, into a major enterprise regionally and globally. Mr. Lok Jack was the recipient of the Chaconia Gold Medal in August 2004; additionally, he has also been awarded the titles of Master Entrepreneur (Ernest & Young), Caribbean Luminary (UWI) and was bestowed a Doctor of Laws Degree (Hon.) by the University of the West Indies, in recognition of his influence on Caribbean economic well being. In further recognition, The University of the West Indies, Institute of Business, was renamed The Arthur Lok Jack Graduate School of Business in 2005.

19.12 Mr. Lok-Jack pledged TT$20 million to UWI. In addition to this endowment from the Arthur Lok-Jack Foundation he has given a firm commitment to raise an additional TT$10 million from the private sector. This endowment is unprecedented in the Caribbean and forms the largest endowment made to a regional education institution by a leading Caribbean business personage.

19.13 A very successful businessman, Arthur brings to the Board much expertise and knowledge with respect to operating business in Trinidad & Tobago.


Executive Management
Stuart White - CEO
19.14 Stuart White is the Managing Director and CEO of Global Development & Investment Partners Ltd, an international development company, CEO of Carlton Savannah Ltd, a company incorporated in Trinidad & Tobago and Chairman of Turtle Management Ltd, a construction project management company.

19.15 Formerly, Mr. White has held senior positions at Goldman Sachs, Chase Manhattan Bank, ING Barings, and Credit Suisse First Boston. As Director of Business Management at Chase Manhattan, Mr. White played a leading role in the development of the European Emerging Markets business, in particular supporting the complex structured product businesses of Eastern Europe, an experience which supported his move to ING Barings as the Global Head of Business Development for Emerging Markets. Mr. White’s project management and business delivery skill were central to his appointment at Credit Suisse First Boston where he lead a major business reengineering program. In his earlier career, Mr. White held the position of Head of Financial Control in London for Goldman Sachs International.

Lyle Pauls - General Manager
19.16 Lyle Pauls has the experience of managing hotels in North America and Canada. A rural boy who had inspirations of being a chef, but instead found his calling in the running of high quality corporate hotels throughout major cities in Canada, the United States and the Caribbean; Lyle Pauls, the new general manager for the Carlton Savannah is constantly surpassing new levels of excellence.

Throughout secondary school, Pauls showed himself to be an all-round student, not only excelling in the kitchen but demonstrating a high understanding of math and science. Keen to embark on a career in the kitchen, Pauls worked with some of the best chefs in Winnipeg and in Western Canada. However, his employer had other intentions, adamant that his future not be in the kitchen but in the front of the hotel.

19.17 He gave up his 'whites' and started his career working for Westin Hotels (1983–2000) catering to such celebrities as the Rolling Stones, Paul Simon, Cher and Queen Elizabeth II. His level of professionalism and dedication did not go unnoticed as he was promoted to the director of operations at Sheraton, New Orleans.

19.18 Unafraid to accept a challenge Pauls renovated two boutique hotels in downtown Chicago, and a third, the Sheraton Suites in Elk Grove, Illinois. He also grew an internet business, which was originally estimated at between US$40,000 and $2 million.

19.19 Pauls' success has grown from strength to strength. In 2005, he was promoted to general manager of the W New York, Union Square, a luxury hotel in Manhattan, which was later sold for an industry record of US$290 million. In 2006, Pauls was lured to the warm seas of the Caribbean where he embraced the challenge of revitalising an Antiguan beach resort.

19.20 Now general manager for the Carlton Savannah, Lyle Pauls still lives by his philosophy “Hotels are bricks and mortar. The pride and challenge is in developing the soul of the hotel, bringing it to life with the people”. This is why he believes the Carlton Savannah will be really special. “It is”, he says “the business hotel the Caribbean has been waiting for”.
Lyle's studies were in cooking and hotel management at Red River College and McGill University in Canada.

Derek Valentine – Finance Director

19.21 Derek is a the Finance Director of Global Development and Investment Partners Ltd, an international development company, Finance Director of Carlton Savannah Ltd, Finance Director of Turtle Management Ltd, a construction project management company. He is an experienced finance director, and draws on his career in investment banking, property development and investment.

19.22 Formerly, Derek has held senior finance roles at Chase Manhattan Bank, Ing Barings and Barclays de Zoette Wedd, where he has been responsible for complex derivative businesses, regulatory control and reporting as well as financial management and control. Business Management of a debt based banking business at ING, with responsibilities spanning multiple European locations, has also complimented Derek's expertise, bringing finance and business together.

19.23 Derek is an Accounting and Economics graduate from Loughborough University, and is a Associate of the Chartered Accountants Institute of England and Wales (Price Waterhouse, London)



Colin Davis – Financial Controller

19.24 Colin Davis is a Trinidadian with over 20 years financial and operational experience in the hotel and food and beverage industry and over 25 years experience in accounting, finance and internal audit.

19.25 He worked for the Atlantis Hotel & Casino in the Bahamas for four years and at the Crystal Hotel there for seven years as the Director of Internal Audit. He planned, developed and successfully instituted audit plans and programs. In addition, he spent eight years as the Financial Controller with a Bahamian based food and beverage conglomerate with combined yearly sales of US$100million. Concepts included KFC, Burger King, Quiznos and Lucianos of Chicago. In this capacity, he coordinated the migration of company-wide Point of Sale to Micros and implemented financial training programs for staff.
Colin holds a BSC in Accounting from Northeastern University in Boston, and an MBA in Finance from Boston College.

Courtenay Leacock – Human Resources Consultant

19.26 Courtenay is a former Director of Human Resources with 30 years management experience in various organizations, 20 of which have been spent in the hospitality industry. He is the human resources specialist in the consultancy and has working knowledge of different islands in the Caribbean, including Trinidad, Jamaica, Grenada, Barbados and the Bahamas.
Courtenay started his hospitality career with Hilton International in 1987 at its property in Trinidad and moved to The Ritz-Carlton Hotel Company L.L.C. in 1999 to become the opening Director of Human Resources at The Ritz-Carlton Golf and Spa Resort in Rose Hall, Jamaica. He worked with the same Company as a transferee to The Ritz -Carlton, Grand Cayman during its pre-opening period. As a Consultant to The Carlton-Savannah, he brings significant expertise in opening hotels as well as in the installation of human resource systems, training and development.

Courtenay holds B.A. and M.A. degrees from the Universities of Manchester and London in England.

Janine Aqui – Director of Sales and Marketing

19.27 With fifteen years in the Hospitality Industry at hotels with room capacity from 18 to 132 in the islands of Tobago, Cayman Islands, Trinidad and Dominica, Janine's portfolio of responsibilities covered Reservations Management, Conference & Banquet Services Management, International & Regional Hotel Sales & Marketing and Hotel Management.

19.28 Janine's forte includes identifying opportunities for cost effective promotions in relevant markets, creating, planning and executing unique marketing initiatives specific to the property, clientele and market to maintain a sustainable competitive edge.

19.29 As an hotelier Janine advocates that a holistic approach to operations is essential, with the pillars of a strong team, superior product and sound leadership with a clear vision.

19.30 Janine's education began at the UWI in Barbados and in Trinidad. She was selected for an International Hotel Association scholarship to attend the Cornell University School of Hotel Administration, earning a Certificate in Properties Management. Most recently she earned a Certificate in Strategic Management at the Arthur Lok Jack Graduate School of Business.

Graeme Dulal-Whiteway – Director of Food and Beverage

19.31 Graeme knew he had a passion for the hospitality industry from a very young age. After sitting O'Levels in Trinidad he left to complete his final two years of high school in Canada. Upon graduating he headed south of the border to the US to pursue a BSc in hospitality management at Florida International University. It was in the Sunshine State that Graeme worked at the Sonesta Beach Resort and the Trump International.

19.32 Graeme has worked in every division of the hotels, but found his heart to be in food and beverage operations. His last position prior to returning to Trinidad was as Director of Food and Beverage of the opening team for Donald Trump's first condo-hotel in South Florida.

Tessa Clarke – Director of Rooms

19.33 Tessa was born in Treasure Beach, Jamaica where she attended the St. Elizabeth Technical High school and graduated in 1996. She left Jamaica, migrated to Canada, and started her hotel career with the Westin Ottawa.

19.34 Her quality discipline and strong will quickly earned her several promotions including Housekeeping Manager, Front Office Manager and Manager on Duty.

Tessa was certified with Starwood as a "Rhythms of Hospitality" an "ABC's of Housekeeping", a "Behavioural Based Interviews" and a "Six Sigma Green Belt" trainer.

19.35 Tessa was promoted and transferred to the W New York where she managed 200 employees in the housekeeping department of one of NYC's most recognized hotels.

19.36 Carlton-Savannah has asked Tessa for her expertise in quality and service standards. Tess has written five volumes which identify and specify the mood, style, language and quality of all interactions which will happen between guests and employees at the Carlton-Savannah.

Paula Tomlin – Director of Human Resources

19.37 Paula joins The Carlton-Savannah with a BA in Arts and General Studies and brings with her over sixteen years of human resource experience. Though she has worked in both the public and private sectors; the majority of her working experience has been in the energy sector with her last position being that of HR Director, Employee Relations at Atlantic LNG Company of Trinidad & Tobago.

19.38 During her tenure with Atlantic, she was responsible for the recruitment, planning, training and overall employee relations and was an instrumental member of the team that has grown and developed the Atlantic LNG Company of Trinidad & Tobago from a Greenfield project to the robust and profitable organization as it stands today.
